Legal Terms of Service

Thank you for choosing Carey Enterprises. These Terms of Service (“Terms”) apply to your use of careyenterprises.com and our free tools, to the text messages, emails and calls we exchange, and, together with your written agreement, to the services we provide.

When we say “Carey Enterprises,” “we,” “our” or “us,” we mean Carey Enterprises LLC, an Idaho limited liability company. When we say “you” or “your,” we mean the person or business using our website or working with us.

By using our website or services, you agree to these Terms and to our Privacy Policy. If you sign a proposal, statement of work, plan agreement or other written agreement with us, that agreement governs the work it describes, and it controls where it differs from these Terms. These Terms contain a limitation of our liability.

Using our website

1. Use our website and free tools only for lawful purposes. Don’t attempt to disrupt, overload, probe or gain unauthorized access to the site or the systems behind it, and don’t submit forms using bots or other automated methods.
2. Information on our website is general information about our services and websites, not legal, tax or financial advice.
3. We may change, suspend or discontinue any part of the website or our free tools at any time.

Our services

1. The scope, deliverables, timeline and price of our work for you are set out in your proposal, statement of work or plan agreement. Work outside that scope may need a change order or a separate quote.
2. To do the work, we rely on you to provide accurate information, content, approvals and access in a timely way. Delays in receiving them may move timelines.
3. You confirm that you have the right to use any content, images, logos and other materials you give us, and you give us permission to use them to perform the work.
4. Keep the logins we provide to you secure. Let us know right away if you believe an account has been compromised.
5. Ending services, and what happens to hosting, accounts and files when they end, is set out in your agreement.

Payment

1. You can pay by card through our payment processor, by ACH or bank transfer, or by check. Monthly plans are billed in advance as described in your agreement.
2. Fees don’t include taxes, which are added where required.
3. Late payments are handled as described in your agreement. If an account is past due, we may pause work or services after giving you notice.
4. We may change our prices. If a change affects your current plan, we’ll give you at least 30 days’ notice by email.

Results and estimates

We do our best work for every client, but we can’t control search engines, map results, AI assistants, advertising platforms or the market. We don’t guarantee any particular ranking, amount of traffic, number of leads or sales. Our free tools, calculators and graders give estimates and general guidance based on the answers you enter; they are not a quote or professional advice.

Text messaging terms

These terms apply to text messages from Carey Enterprises.

1. Program: Carey Enterprises sends text messages to people who have agreed to receive them. Non-marketing messages include replies to your inquiry, appointment confirmations and reminders, project and account updates, and a follow-up if we miss your call. If you separately agree, we may also send marketing messages, such as offers and news.
2. Consent: by checking a text-message consent box on our forms, texting us, or agreeing on a call, you consent to receive text messages from Carey Enterprises at the number you provide, which may be sent using automated technology. Consent is not a condition of purchase.
3. Frequency and cost: message frequency varies. Message and data rates may apply; check your mobile plan.
4. Opting out: reply STOP (or STOPALL, UNSUBSCRIBE, CANCEL, END or QUIT) at any time. You’ll receive one message confirming you’ve been unsubscribed, and we won’t text you again unless you reply START.
5. Help: reply HELP, call (208) 964-9963 or email support@careyenterprises.com.
6. Carriers are not liable for delayed or undelivered messages.
7. Eligibility: you must be 18 or older, or have permission from the account holder, to sign up for text messages.
8. Privacy: no mobile information will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

Email and calls

1. By giving us your email address or phone number, you agree that we may contact you about your inquiry, appointment, project or account by email, phone or, with your consent, text message.
2. Marketing emails include an unsubscribe link, and we honor opt-outs within 10 business days. You can also ask us not to call you, and we’ll add your number to our internal do-not-call list.
3. Calls with us may be recorded for quality, training and record-keeping. When a call is recorded, we tell you at the start of the call. If you don’t want to be recorded, tell us and we’ll stop recording.

Intellectual property

1. The content of our website, including its text, graphics, logos, design and code, belongs to Carey Enterprises or its licensors. You may not copy, reproduce or reuse it without our written permission. Please email us to ask about using our logo.
2. Rights in the work we create for clients are set out in each client’s written agreement.
3. Unless your agreement says otherwise, we may show the work we’ve done for you in our portfolio and marketing.

Third-party services

Websites and online stores depend on third-party services such as hosting, domain registrars, plugins, payment processors, email and marketing platforms. Their own terms and policies apply to your use of them. We aren’t responsible for their outages, price changes, policy changes or discontinued features, though we’ll help you work through them as described in your agreement. Links from our website to other sites are provided for convenience; we don’t control and aren’t responsible for those sites.

Disclaimers and limitation of liability

Our website and free tools are provided “as is” and “as available,” without warranties of any kind, to the fullest extent permitted by law. Any warranties for our paid services are only those stated in your written agreement.

To the fullest extent permitted by law, Carey Enterprises shall not be liable, in law or in equity, to you or to any third party for any indirect, incidental, special, consequential, punitive or exemplary damages, including damages for lost profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), resulting from: (i) the use of or inability to use our website, tools or services; (ii) the cost of substitute goods or services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) the statements or conduct of any third party; or (v) any other matter relating to these Terms. Our total liability for any claim relating to these Terms or our services will not exceed the amount you paid us in the 12 months before the claim arose.

You agree to indemnify and hold Carey Enterprises harmless from claims arising out of content or materials you provide to us, or your use of our website in violation of these Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-law rules. If a dispute arises, we’ll first try to resolve it informally: contact us and we’ll work on it in good faith. If we can’t resolve it, any legal action will be brought in the state or federal courts located in Kootenai County, Idaho, and you and we consent to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we make a significant change, we’ll update the date at the top of this page and take other appropriate steps to let you know. If we don’t enforce a provision at some point, that doesn’t waive our right to enforce it later. If any provision is found unenforceable, the rest of these Terms remain in effect.
